A. CWOnline

C&W hereby undertakes to provide the Customer with access to CWOnline (“the Site”) on a trial basis. Such access will allow the Customer (as defined below), to access and review bill information through the Internet for the services listed in the attached Schedule. The Customer will also be able to order or cancel services relating to an existing mobile or telephone account.

Subject to these Terms and Conditions, Customer means any individual or corporate body who has subscribed to the Site, is registered by C&W as a Customer on the Site, and has been provided with a user identification (id) and an initial password. This initial password shall be changed by the Customer immediately on accessing the site in accordance with our password policy and the Customer shall be fully responsible for safeguarding any user id and password provided by C&W.

The Customer's right to use the services provided on the site is personal and non-transferable. The Customer shall be fully responsible and accountable for any wrong or unlawful use of his user id or password by himself or any other person.

C&W shall be responsible for the operation and maintenance of the web pages on the Site. All the bills hosted on this Site will be generated and provided by C&W.

C&W undertakes to provide the monthly billing information of the Customer which shall be updated at regular intervals as determined by C&W. The Customer has been given access to the Site for information purposes only. Payment of bills cannot be facilitated through this Site nor can material printed from the Site be used as a bill for payment purposes.

The Customer hereby agrees to be bound by any new or amended Terms and Conditions in respect of the use of this Site.

The Customer can choose to receive the access password through either of the following channels:

i. Registration with the C&W Customer Care Center by calling 1 888 225 5295; or

ii. Directly from your major account representative by mail or as provided in a face-to-face meeting with a Customer Service Representative.

C&W shall use its reasonable endeavors to minimize possible losses or damages arising from transportation errors. However, C&W shall not bear any responsibility for losses (including without limitation direct or consequential losses) or damages arising from such events.

C&W undertakes to process all fault reports and service orders placed on the Site by the Customer. These service orders will be processed in accordance with the terms and conditions applicable to the individual services offered by C&W. The Terms and Conditions of the various services can be obtained by calling the Customer Care Center. Installation charges are not refundable. Service is subject to a minimum 30-day contract period.

The Customer is responsible for providing C&W with accurate, complete and updated registration information.

In the event of complaints or disputes regarding the monthly billing amount, the billing amount presented in the bill mailed to the Customer will prevail as the Company's account of monies payable for services rendered. C&W shall not be liable or responsible for any loss or damage of any sort incurred as a result of any error in the presentation of bill information on the Site.

B. CWOnline Web Site ("Site")

The Customer hereby undertakes to abide by the Terms and Conditions stated on the Site.

C&W does not guarantee that the content on the Site shall be error free or that the Site or the Server that operates it is free of viruses or other harmful components.

C&W reserves the right to vary the Site or any part of the Site, modify or discontinue the Site, any part of the Site or the services available on it, at its own discretion.

The Customer must comply with the following rules for use of the Site and shall not post or transmit any content to the Site that:

i. is not permitted under C&W's Internet Acceptable Use Policy or any other condition governing internet services as amended from time to time by C&W("the Regulations");

ii. is contrary to the laws of the jurisdiction where the customer is located, defamatory or in contempt of any legal or other proceedings;

iii. is misleading or deceptive;

iv. infringes any copyright, trade mark, patent or other intellectual property right of C&W or any other person in relation to the use of the Site;

v. contains any unsolicited or unauthorised advertising or promotional material;

vi. contains viruses or similar software or data which is designed to interrupt, destroy or limit the functionality of the Site, or any computer software or hardware;

vii. impersonates any person or misrepresents relationship with any person; or

viii. would contravene any other Applicable Laws or Regulations.

In addition, the Customer must not:

ix. disrupt or interfere with the Site or servers or other software, hardware or equipment connected directly to or via the Site belonging to C&W or any other third party;

x. collect or store personal data about other users of the Site;

xi. modify, copy, reproduce, republish, upload, post, transmit or distribute in any way in any form or by any means any material in this site including code and software without the prior written consent of C&W save that the Customer may download one copy of the material on a single computer for his personal and non-commercial use only and provided that he does not alter any copyright or other proprietary notices.

C&W has not reviewed all of the sites which may be linked to this Site and shall not be responsible for the content or accuracy of any off-site pages or any other sites linked to this Site (including without limitation sites linked through advertisements or through any search engines).

C&W assumes no responsibility for any links, which are automatically generated on the Site. The inclusion of any link shall not imply that C&W endorses the linked site, and the Customer will be deemed to use such links at his/her own risk.

C&W at its sole discretion, reserves the right to include or exclude any hyperlink to any Internet site for any reason whatsoever and at any time.

The Customer shall assume all liability regarding correspondence or dealings with, or participation in promotions of advertisers on the Site, which are solely between the Customer and such advertisers.

C. Termination

C&W reserves the right to discontinue access to any CWOnline account at any time.

C&W reserves the right to disconnect or deactivate a CWOnline account if C&W reasonably believes that Customer has violated any Applicable Laws or Regulations, committed a breach of these Terms and Conditions, or infringed any of C&W's rights or those of another party.

Upon cancellation of Customer's registration, C&W has the right to restrict Customer's access to the content transmitted to, or which is kept on or via, the Site. In any such case C&W may delete such materials.

The Customer shall advise C&W in writing if he/she no longer wishes to have access to CWOnline.

D. Limitation of Liability
Customer agrees C&W shall not be liable for any consequential, indirect or special loss or damage arising from or in any way connected with the use of the Site or the performance of its obligations under these Terms and Conditions.

The Customer agrees to indemnify C&W from and against any and all liability, loss, damage, costs and expenses (including legal expenses on a full indemnity basis) awarded against, incurred by or paid or payable by C&W as a result of any claim, loss or damage arising out of the negligent, willful or unlawful act, or omission and/or default of the Customer under these Terms and Conditions.

C&W’s liability for damages resulting from the use of the site, its performance or non-performance under these Terms and Conditions regardless of whether that liability arises in contract, tort (including negligence), equity or statute shall unless otherwise stated in these Terms and Conditions be limited in the aggregate to the sum of the average of the last three (3) months’ billing for the Customer for any one incident or series of incidents arising in any one calendar year.

The indemnities herein shall remain in full force and effect notwithstanding any termination of this Agreement.

CWOnline is operated from a site in Jamaica and C&W makes no representation that the material in the site appropriate or available for use outside of Jamaica. In the event that access to the site is gained from is outside of Jamaica responsibility for compliance with local laws rests with the person gaining such access.

E. Trademark

These terms and conditions shall be governed by the laws of Jamaica.
